Conditions of Sale

  1. General

1.1 All orders for products ("Products") or services ("Services") placed with Grand Automation Intelligence Limited ("GAI") are subject to these Conditions of Sale. By placing an order, the customer ("Customer") agrees to be bound by these terms. No other terms shall apply unless expressly agreed in writing by GAI.

1.2 Product and service descriptions on GAI's website or catalogues are for general information only and do not constitute part of any contract. Errors or omissions are not binding. Orders are accepted when GAI confirms pricing and delivery in writing.

1.3 GAI reserves the right to change these terms at any time without notice. The current version is always available on GAI’s official website.

1.4 GAI’s services and products are intended for business use only. These conditions do not affect the statutory rights of any Customer who qualifies as a consumer under applicable law.

1.5 Please refer to clause 11 regarding limitations of liability.

  1. Prices

2.1 Prices are as stated on GAI’s website or official quotation and may change without notice. In case of discrepancies between website and catalogue, the website price prevails.

2.2 Prices at the time of order acceptance apply, except for forward orders, where prices may vary with notice.

2.3 Prices exclude applicable taxes, which will be added where relevant. GAI will issue tax invoices accordingly.

  1. Ordering

3.1 GAI reserves the right to decline or cancel orders at its discretion. In case of cancellation post-payment, a refund will be issued promptly.

3.2 GAI may provide substitutes where requested or necessary. Backorders will be fulfilled when stock is available, unless otherwise directed by the Customer.

3.3 Orders must use GAI item codes and follow the order process as defined. Confirmation communications must be clearly marked to prevent duplication.

  1. Delivery

4.1 GAI may deliver through third-party logistics providers. Delivery is made to the Customer’s address unless agreed otherwise.

4.2 Delivery times are estimates and not binding. Delays do not entitle the Customer to compensation unless otherwise agreed.

4.3 Special delivery fees may apply for customised or bulk orders, and will be confirmed at time of order.

  1. Inspection and Claims

5.1 The Customer must inspect Products within 10 days of receipt and notify GAI of:

  • Apparent defects

  • Shortfalls

  • Incorrect items

  • Non-delivery

5.2 If no notice is given, Products are deemed accepted. GAI records are conclusive unless proven otherwise.

  1. Payment

6.1 Payment is required in advance unless credit terms are agreed. Accepted payment methods: bank transfer, credit card, cheque (must clear first).

6.2 For credit customers, terms must be adhered to. Late payments incur interest, legal cost reimbursement, and may lead to suspension or termination of service.

  1. Risk and Ownership

7.1 Risk passes on delivery. Ownership transfers only after full payment.

7.2 Until ownership transfers, Products must be stored separately, kept in good condition, and insured by the Customer. GAI retains recovery rights.

  1. Product Availability

8.1 GAI may change or discontinue Products without notice. The website has the latest information.

8.2 No guarantee is made regarding origin or source unless stated in writing.

  1. Warranty

9.1 GAI warrants Products against material defects in workmanship for 12 months from shipment.

9.2 Warranty claims must be made in writing with return references. Faulty Products may be repaired, replaced, or refunded at GAI’s discretion.

9.3 The warranty excludes misuse, unauthorised modification, or failure to follow instructions.

9.4 Returned items must follow GAI’s return process. Improper returns may be rejected.

  1. Export Control

10.1 Products may be subject to export controls. The Customer is responsible for compliance.

10.2 Products must not be used in nuclear, medical implant, or critical safety systems without prior agreement.

  1. Liability

11.1 GAI is not liable for indirect, consequential, or economic loss including lost profits.

11.2 GAI’s total liability is capped at HK$300,000 or the order value, whichever is higher, except for cases involving death, personal injury, or fraud.

  1. Returns & Cancellations

12.1 Orders are non-cancellable unless agreed. A handling fee may apply.

12.2 Products may only be returned with prior consent and within 30 days of delivery, in original condition.

12.3 Certain items, such as custom or non-standard products, are non-returnable.

  1. Services

13.1 Service terms (e.g., repair, calibration) will be quoted separately. GAI is not liable for delays or data loss.

  1. Force Majeure

14.1 GAI is not liable for delays due to causes beyond its control. In prolonged events, GAI may cancel the affected orders.

  1. Intellectual Property

15.1 All intellectual property rights in GAI content and product codes belong to GAI or its licensors.

  1. Anti-Bribery

16.1 Customers must comply with anti-bribery laws and must not offer or accept improper inducements.

  1. Data Protection

17.1 Customer data will be handled per Hong Kong law and GAI’s Privacy Policy.

17.2 Data may be shared with affiliates or service providers to fulfil orders.

  1. Governing Law

18.1 These terms are governed by Hong Kong law. Disputes may be resolved in Hong Kong courts.

18.2 If any term is unenforceable, the rest remain in effect.

18.3 Third parties cannot enforce these terms under Hong Kong’s Contracts (Rights of Third Parties) Ordinance.
